| | ACCEPTANCE OF CONTRACT TERMS Omni Digital Services is a division of Omni Digital Services, Inc. The following forms a legal agreement between you and Omni Digital Services, Inc. (Omni). By accessing this site you are acknowledging that you have read, understood, and agreed to be bound by these terms and all applicable laws and regulations. If you do not agree to these terms please do not use this site. The material provided on this site is protected by law, including, but not limited to, United States Copyright Law and international treaties. Any claim relating to the use of this site, its materials and any sales thereunder is governed by the laws of the State of California. Limitation Of Liability In no event shall Omni or its licensors, suppliers, or vendors, their officers, directors, employees, or agents, be liable for any special, incidental, indirect, or consequential damages of any kind, or for any damages whatsoever resulting from loss of use, data or profits, whether or not Omni has been advised of possibility of the damage, arising out of or in connection with the use or performance of the site or of failure to provide services that you order from Omni or its affiliates, including without limitation, damages arising from mistake, omission, virus, delay, or interruption of service. In no event shall Omni be liable or responsible for any damages or consequences arising from or related to your inappropriate or unauthorized use of the site or its content. Under no circumstances, including, but not limited to, negligence, shall Omni be liable for any direct, indirect, special, incidental or consequential damages, including, but not limited to, harm to equipment and/or personal injury or death, arising out of the use, or the inability to use, the materials on this site, even if Omni or an Omni authorized representative has been advised of the possibility of such damages. If your use of materials from this site results in the need for servicing, repair or correction of any item, you assume any cost thereof. Indemnity You agree that you shall indemnify and defend Omni and all parties from whom Omni has licensed portions of Content, and their directors, officers, and employees, against all claims, liability, damages, costs and expenses, including reasonable legal fees and expenses arising out of or related to (i) your breach of these Terms of Use or (ii) any suit, claim, or demand arising from or relating to any text, photograph, image, graphic or other material you incorporated into Products. Omni over/under run policy Omni reserves the right to 5% over or under runs. Our production hours are 8:00 AM - 5:00 PM PST Monday - Friday. Pricing From time to time Omni will offer special pricing, discounts, coupons, etc. Any item already specially priced cannot be combined with another discount, coupon, etc.. Customer Content You understand that all information, data, text, photographs, graphics, messages or other materials ("Content") are the sole responsibility of the person from which such Content originated. This means that you, and not Omni, are entirely responsible for all Content that you send, upload, post or transmit via the Service, via email, or via any other method. Recognizing the global nature of the Internet, you agree to comply with all local rules regarding online conduct and acceptable Content. You agree not to use the Service to send, upload, post or otherwise transmit any Content that contains:
Please review your press ready files prior to submitting. You are fully responsible for final proof and accuracy of all content in files prepared by you. Artwork submitted by you for print are deemed "approved" for production. No proof will be sent to you by Omni unless you request a proof in writing. If you request a hardcopy proof additional charges may apply. Omni is NOT LIABLE for errors in a final product caused by any of the following reasons: Misspelling, Graphics, Bleeds, Grammar, Damage Fonts, Punctuation, Wrong cuts, Incorrect or Missing Folds, Die Lines, Crop Marks, Transparency, Brightness, Contrast Color Accuracy, Overprint, Finished Product Size. We DO NOT make any changes on customer submitted files. Customer Submitted Artwork Or Graphics All artwork or designs and images must be provided in CMYK format. Omni is not responsible for any color shift that occurs in conversions from RGB to CMYK or PMS Pantone colors to CMYK color modes. All artwork, designs and images must be provided in minimum of 300 DPI and CMYK color mode. Omni is not responsible for images printed as fuzzy, distorted or pixelated due to customer provided artwork. Omni is not responsible for any color shift in converted photographs (RGB images) with black, near black, or gray tones. Color shifts from a perceived black or gray must be addressed prior to file submission. Proofs do not guarantee black, near black or gray final output. Order Approval On Files Prepared For Print By Omni Upon completion of the layout selected by you, Omni will send an electronic proof to the email address associated with your account. It is your responsibility to review this the proof. You are responsible for all issues regarding; correct spelling, grammar, punctuation, contact information accuracy, content accuracy or errors & omissions of any kind. You must either "approve" your proof or request changes to your proof within 6 days of proof delivery. If you request changes, another proof will be sent to you after your changes have been made. Before we print your file an EXPLICIT approval must be given. We do not accept implicit approvals such as (but not limited to) "okay", "looks good", etc. Your approval means that you have scrutinized and approved all aspects of the content AND layout. Once approved and production begins no order cancellation is permitted. If you decide to cancel your order after a layout is prepared but before production begins you may be charged a "layout fee". Submission of Text, Logos & Pictures?All text, logos and photos (assets) should be submitted to us in digital form (text in an editable text format and photos in an unlocked file format acceptable to Omni). If you are unable to submit your assets in digital form you must contact Omni Digital Services prior to making your order. While we may be able to help you with converting your assets to digital formats there may be additional charges for these services. All assets submitted to us must comply with the "Customer Content" terms of this agreement. Color Proofing & Matching Omni is not liable for color matching or ink density on screen proofs approved by the customers. Screen proofs will predict design layout, text accuracy, image proportion and placement, but not color or density. Electronic proofs do not show transparency and over print issues neither do they show color change from RGB to CMYK. If these things are important to your order, you may purchase a hardcopy proof HOWEVER, in the case of an "offset" print order these proofs are NOT printed on the same press and so can only approximate the final print appearance. Application of UV Coating may effect or change the appearance of the printed colors. Omni is not liable for the final color appearance of a UV product/s. Omni reserves the right to change the paper quality and/or type at anytime, without notifying its customers. The Omni Guarantee Omni guarantees prints will not be defective in accordance with CMYK industry standards for "pleasing color". We offer no guarantee of "match-print" color fidelity and cannot prevent slight color shift throughout an order. Omni does not guarantee color will match the preview as it appears on a customer's monitor, as we cannot compensate for color variance on each customer's monitor. Omni is not responsible for any color shift that occurs in conversions from RGB to CMYK color modes. We recommend all custom designs be designed in CMYK and uploaded in CMYK. You may also upload in RGB if you choose. However, the color will be converted and may not be as accurate. If a print is found to be defective due to the fault of Omni/Omni Digital Services, then you may contact us to request a reprint or refund. You must contact us via e-mail within 14 days of receiving your order. Please include the order number concerned as well as any other pertinent information. If product is deemed defective due to the fault of Omni, one of the following resolutions will be offered: A. If a reprint is requested, and the product is found to be defective, Omni will reprint at no charge to the customer with the same production and delivery terms extending from the time of resolution, or B. If a refund is requested, We will contact you to help issue your RMA (Return Merchandise Authorization). Omni reserves the right to request and review samples of the claimed defective product before issuing a RMA. If the product is found to be defective due to customer error, an RMA will not be issued and a refund will not be authorized. If the product is found to be defective due to an Omni error, the product must be returned in the entirety of the order. The product must be received by Omni within 30 days after RMA is issued. Refunds will be processed only after an RMA has been issued and the entire product has been returned to and reviewed by Omni. Although refunds will not be offered for customer errors, Omni may permit the customer to correct their error and reprint the original order at a discounted rate of the cost for each reprinted item. In such event, customer will be responsible for all shipping costs. Customer errors include typos, incorrect file submission in accordance with our specifications, duplicate orders, misunderstandings of turnaround time stated on our FAQ page, slight color variances within four color (CMYK) industry standards for pleasing color, disregard for cutting and folding tolerances within stated limits on the website, undeliverable packages/3rd delivery attempts and orders returned without an RMA. Other errors that customers are responsible for include blank cards, borders, incorrect card orientation, crop marks, incorrect folding orientation, hard to read text and images, missing logos, low resolution (small) images, images that are not full bleed, colors that are out of gamut, designs that are outside of our stated safe zone and pixelated files. The following errors are also deemed customer errors and do not qualify for a free reprint:
Orders may not be canceled or refunded once they have gone into production or any process thereafter. Absolutely no refunds will be issued once an order has been Plated or any process thereafter, including but not limited to Printing, Coating, and / or Finishing. Once the order has been placed successfully, No Refunds are issued for the Logo, and Graphic design services. Omni is not responsible for any duplicated orders that are placed on our web site due to the customer mistake. File / Artwork / Asset Ownership and File Retention The customer retains all rights to any logos, copyrighted verbiage, or graphics supplied to us that are already owned by the customer. However, all digital files, prepared by us, remain the property of Omni Digital Services, Inc. and or their respective owners. While we try to retain files submitted to us, no guarantee of any kind is made regarding retention of any files. Order Shipping And Delivery?Omni will always act to make sure that any production difficulties do not delay delivery schedules. In no case shall Omni be liable for any damages, consequential or otherwise, resulting from any delay in shipment or delivery. You agree not to hold Omni liable for delays in shipments caused by weather conditions, shipping company delays, international customs issues or any other circumstances beyond Omni's direct control. Omni shipment and delivery dates are calculated based upon estimates provided by our suppliers. Omni will always act to make sure that delivery schedules are met. However, unexpected equipment failure, malfunction and or technical problems may delay the printing process. In case of delay caused by technical difficulty, rush charges/fees will be refunded or waived where applicable. However, technical difficulty will not be the grounds for order cancellation. Orders must be shipped in whole quantities and may not be split up. Please note that we don't ship to P.O. Boxes. Omni does not guarantee delivery time and date; we do our best to stay within the scheduled delivery period, but in case of any emergency, extra work load, or unforeseen circumstances deliveries might be postponed to the following day or canceled. Omni will not be responsible for any problem such as loss of business/customers that may be caused by late delivery or NO delivery. Shipping Errors & Lost Packages Lost or damaged claims can only be filed for shipments over $50.00 in value and can only be done after 30 days from package shipment. Omni is not responsible for 3rd party shipping errors, omissions or damaged shipments. Customer Supplied Incorrect Address When a package is not delivered due to an error made by the customer in submitting the proper shipping address, Omni will reship the package with corrected address and charge an additional shipping fee for the shipment. Use Restrictions The copyright in all material provided on this site is held by Omni or the respective owners. Except as stated herein, none of the material may be copied, reproduced, distributed, republished, downloaded, displayed, posted or transmitted in any form or by any means including, but not limited to, electronic, mechanical, photocopying, recording, or otherwise without the prior written permission of Omni. Permission is granted to display, copy or distribute and download the materials on this site for personal, non-commercial use only, provided you do not modify the materials and that you retain all copyright and other proprietary notices contained in the materials. This permission terminates automatically if you breach any of these terms or conditions or upon the request of Omni. Upon termination you must immediately destroy any downloaded and printed materials. You also can not "mirror" any material contained on this site. Transfer Of Title You understand the shipping terms are FOB shipping point, which means ownership transfers once we deliver any printed products to Omni's shipping carrier. Typographical Errors In the event a product is listed at an incorrect price due to a typographical error, entry error or error in pricing information received from our suppliers, Omni shall have the right to refuse or cancel any orders placed for said product(s). If your credit card has already been charged for the purchase and the order is canceled Omni will immediately issue a credit to your credit card account in the amount of the incorrect order amount initially charged. Order Acceptance Policy?Your receipt of an electronic or other form of order confirmation does not signify our acceptance of your order, nor does it constitute confirmation of our offer to sell. Omni reserves the right at any time after receipt of your order to accept or decline your order for any reason. Sales Taxes Omni withholds applicable sales tax for orders to be delivered to addresses within California. Each customer shall be solely responsible for all sales taxes, or other taxes, on orders shipped to any other location.
